Paychex (PAYX) has finalized a definitive agreement to purchase Paycor HCM, Inc. (PYCR), a company specializing in human capital management (HCM), payroll, and talent software. The acquisition will be completed in an all-cash transaction valued at $22.50 per share, amounting to an approximate enterprise value of $4.1 billion. Paycor, based in Cincinnati, Ohio, employs around 2,900 people, serves over 49,000 clients, and supports approximately 2.7 million employees across the United States.

Following the closure, Paychex anticipates that this acquisition will have a neutral to slightly positive effect on adjusted diluted earnings per share (EPS) in the first fiscal year. Looking forward, the transaction is expected to enhance EPS in the second fiscal year and beyond.
